Agreement to Terms
By accessing and using the Feather Accounting website and services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
Services
Feather Accounting provides remote accounting, bookkeeping, payroll, and QuickBooks services to businesses and individuals in the United States.
Service Scope
Our services may include, but are not limited to:
- Bookkeeping and transaction recording
- Bank reconciliation
- Financial reporting
- Payroll processing support
- QuickBooks setup and consulting
- Tax preparation support
Service Limitations
We are not:
- Certified Public Accountants (CPAs) providing audit services
- Tax attorneys
- Financial advisors
- Providing legal advice
For specialized services outside our scope, we recommend consulting with appropriate licensed professionals.
Payment Terms
Fees
- Service fees are as stated in your service agreement or on our pricing page
- Prices are in US Dollars (USD)
- Payment is due monthly in advance unless otherwise agreed
- We reserve the right to change fees with 30 days' notice
Payment Methods
We accept:
- Credit cards
- ACH bank transfers
- Checks (for established clients)
Late Payment
- Late payments may incur a fee of 1.5% per month or the maximum allowed by law
- Services may be suspended for accounts more than 30 days overdue
- Collection costs may be added to delinquent accounts
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete financial information
- Respond to requests for information in a timely manner
- Review financial reports and notify us of any errors
- Maintain your own records and backups
- Comply with all applicable tax laws and regulations
- Pay fees on time
Data and Confidentiality
Client Data
- You retain ownership of all financial data you provide
- We will not disclose your information except as required by law or with your permission
- We implement security measures to protect your data
- You grant us permission to use your data to provide services
Our Confidential Information
You agree not to disclose any proprietary information, processes, or methodologies you learn about our business operations.
Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of Feather Accounting and protected by copyright and other intellectual property laws.
Limitation of Liability
Service Disclaimer
Our services are provided "as is" without warranties of any kind. While we strive for accuracy, we do not guarantee:
- Error-free service
- Uninterrupted service
- Specific results or outcomes
Liability Cap
To the maximum extent permitted by law, our total liability for any claim arising from our services shall not exceed the fees paid by you for services in the three months preceding the claim.
Exclusions
We are not liable for:
- Errors caused by incomplete or inaccurate information you provide
- Delays or failures caused by circumstances beyond our control
- Tax penalties or interest resulting from late or incorrect filings (unless caused by our negligence)
- Consequential, indirect, or incidental damages
- Loss of profits or business opportunities
Indemnification
You agree to indemnify and hold harmless Feather Accounting from any claims, damages, or expenses arising from:
- Your violation of these terms
- Your violation of any law or regulation
- Inaccurate information you provide
- Your use of our services
Termination
By Either Party
Either party may terminate services with 30 days' written notice.
By Us
We may terminate services immediately if:
- You breach these terms
- You fail to pay fees
- We are unable to verify your identity
- Continuing service would violate laws or regulations
Upon Termination
- You must pay all outstanding fees
- We will provide your financial records in a commonly used format
- Our obligations for confidentiality continue
- You must cease using any of our proprietary materials
Professional Standards
We adhere to professional standards including:
- Generally Accepted Accounting Principles (GAAP)
- IRS regulations and guidelines
- State and local accounting regulations
- Ethical standards of the accounting profession
Dispute Resolution
Governing Law
These terms are governed by the laws of the State of California and the United States, without regard to conflict of law provisions.
Jurisdiction
Any disputes shall be resolved in the state or federal courts located in San Joaquin County, California.
Mediation
Before filing any lawsuit, parties agree to attempt to resolve disputes through good faith mediation.
Attorney's Fees
The prevailing party in any legal action may recover reasonable attorney's fees and costs.
Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the new terms.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.
Entire Agreement
These terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Feather Accounting.
